The Independent Director Test: Ten Years in Practice Exempts You

A practising chartered accountant, cost accountant or company secretary of ten years standing is exempt from the proficiency self-assessment test, as is three years as a director or KMP - with two counting traps that catch people.

India's independent director proficiency self-assessment test is widely described as a hurdle for senior people joining boards. The exemptions tell a different story. A practising chartered accountant, cost accountant or company secretary of ten years' standing does not have to sit it at all — and neither does anyone with three years as a director or key managerial personnel of a company of any size worth mentioning. What remains is a test that largely binds first-time directors.

The requirement

Every individual who is already an independent director, and every individual intending to be appointed as one, must register in the independent directors databank maintained through the Indian Institute of Corporate Affairs. For those already serving at commencement, the empanelment deadline was 31 December 2020.

Each registered individual "shall pass an online proficiency self-assessment test conducted by the institute within a period of two years". The pass standard is not demanding: an individual with "a score of not less than fifty percent in aggregate" is deemed to have passed.

Who is exempt

The first exemption route is experience as a director or key managerial personnel. An individual is exempt if, as at the date of inclusion in the databank, they have served at least three years in that capacity in any of:

  • a listed public company
  • an unlisted public company with paid-up share capital of ₹10 crore or more
  • a body corporate listed on a recognised stock exchange, or in a FATF-member state whose securities regulator is an IOSCO member
  • a body corporate incorporated outside India with paid-up capital of US$2 million or more
  • a statutory corporation established under an Act of Parliament or a State Legislature carrying on commercial activities

Also exempt: anyone on a pay scale of Director or above in a Central or State Ministry or Department with relevant experience; and anyone who has served as Chief General Manager or above at SEBI, the Reserve Bank of India, IRDAI or PFRDA with experience in corporate, securities or economic law.

And separately, the one that matters most to our readers: anyone who has been an advocate, or a practising chartered accountant, practising cost accountant, or practising company secretary, for at least ten years is exempt from the test.

Two traps in how the experience is counted

First, time served as a director or key managerial personnel in two or more companies simultaneously counts once. Three years on four boards at the same time is three years, not twelve.

Second, and more consequential: experience gained after the databank inclusion date does not create an exemption. The test is applied as at the date of inclusion. An individual who registers at two years and eleven months of qualifying service, and crosses three years a month later, is not exempt — they are inside the two-year clock.

That makes the timing of registration a decision rather than a formality, which is not how it is usually treated.

What happens if you fail or don't sit it

Fail to pass within two years and the individual's name is removed from the databank. Restoration costs ₹1,000 plus 18% GST. A one-year extension is available at the same price. Fail within that extended year and the profile is permanently deleted, requiring re-registration from scratch.

One notable gap: the official FAQ does not state a consequence for never registering at all. We are flagging that as an absence in the published guidance rather than drawing a conclusion from it.

A date you should not cite

The current exemption threshold for director or key managerial personnel service is three years, and we are citing the IICA FAQ for that figure.

The original Ministry of Corporate Affairs notification of 29 February 2020 — the Companies (Appointment and Qualification of Directors) Amendment Rules, 2020 — set the threshold at ten years: exempt "when he has served as a director or key managerial personnel, for a total period of not less than ten years". The same notification listed the company categories and replaced a "three months" period with "five months".

The reduction from ten years to three was made by a later amendment that we have not read. So: cite the FAQ for the three-year figure, not the February 2020 notification, and do not assert when the change took effect. Anyone relying on this for an appointment decision should check the current rule directly.

What this is not

The proficiency test is a one-off qualification gate, not a continuing education requirement. It does not recur, there are no annual hours attached to it, and passing it does not satisfy any professional body's CPE obligation.

Nor is there a general mandatory training requirement for directors of listed companies. SEBI's listing regulations put it permissively: "The board of directors shall encourage continuing directors training to ensure that the members of board of directors are kept up to date." Encourage, not require.

We should be precise about the limits of that reading. The listing regulations run to well over a hundred thousand characters and we were unable to retrieve the whole document in one pass, so the regulation dealing with familiarisation programmes for independent directors fell outside what we could read. Our conclusion that SEBI mandates no director training is therefore partial rather than complete, and we would rather say so than overstate it.

The practical upshot

If you are a practising chartered accountant, company secretary or cost accountant with ten years behind you, the test is not your problem — your problem is your own body's annual CPE obligation, which is both recurring and more demanding. ICAI's structured-hours position is tighter than most members expect, as we set out in the ICAI digital learning cap, and ICSI's applies regardless of practice status, covered in ICSI CPE credits.

If you are joining your first board without that background, register deliberately rather than early, because the clock and the exemption test both run from the inclusion date. Full ICAI context is in ICAI CPE requirements.

This article describes published requirements and is not legal advice. Thresholds and fees change; verify with the independent directors databank before relying on this for an appointment.
